The Daily Wire is looking to hire a Senior Associate General Counsel, serving as a member of the General Counsel’s leadership team. This position will manage the non-entertainment side of the Legal Department. The responsibilities will include most corporate legal matters under the General Counsel’s supervision, including without limitation all manner of transactions, privacy, insurance and risk management, and regulatory compliance.

Responsibilities

  • Manage the non-entertainment side of the Legal Department, providing direct supervision to attorneys and legal staff
  • Provide a proactive, highly strategic, collaborative, and business-oriented approach to legal issues and develop solutions that balance ethical and prudent legal advice with effective risk assessment and that are responsive to external and internal needs of the company
  • Negotiate, draft, track, and ensure compliance with all company transactions, and advise the appropriate departments in connection therewith
  • Respond to frequent legal needs from across the company in real time
  • Develop and oversee a compliance program to implement and manage control systems designed to prevent or deal with violations of legal guidelines and internal policies
    • Develop policies and programs to encourage employees to report improprieties
  • Interact with regulators on compliance issues
  • Collaborate with Human Resources on compliance matters
  • Manage the company’s document retention program
  • Develop a master compliance calendar
  • Track and respond to new compliance requirements
  • Coordinate efforts related to audits, reviews, and examinations
  • Manage any and all company litigation in close consultation with the General Counsel
  • Manage company’s insurance, privacy, and risk management functions
  • Remain up-to-date on relevant consumer protection, privacy and data security laws and regulations, as well as on technological developments, threat vectors, and evolving industry standards to ensure an ongoing ability to provide sound compliance advice
  • Strategize, develop, and deliver training and communications to ensure the efficient operation of risk management programs
  • Draft various corporate governance documents and legal records, including without limitation consents, operating agreements, internal services agreements, and other corporate documents
  • Perform other duties as assigned

Experience & Requirements

  • 15+ years of relevant legal experience, including at least 5 years of relevant in-house experience
  • JD and strong academic credentials from an ABA-accredited law school and current bar admission in at least one state bar
  • Previous professional experience and proven success with a rapid-growth company preferred
  • Demonstrated experience managing regulatory requirements and best practices for large companies
  • High ethical standards and mature judgment

  • Craft constructive business-oriented solutions to legal issues
  • Identify, research, and prepare legal or policy analysis on issues to obtain outcomes in the best interest of the company

  • Exercise sound independent judgment
  • Experience negotiating software, data, and employment agreements
  • Excellent negotiating, communication, and drafting skills
  • Sound, practical business judgment, and creativity solving problems
  • Exceptional communication skills, including the ability and confidence to respectfully and constructively voice ideas and concerns with others
  • A collaborative and team-focused attitude
  • Flexibility, adaptability, and ability to pivot and juggle multiple tasks according to fast-paced, quickly- changing business needs
  • Proficiency with Microsoft Office and G-Suite
